Terms of Service

These Terms of Service form the agreement between you and Invoice DIY governing your access to and use of our platform. Please read them carefully — by using the service you accept these terms in full.

Acceptance of these terms#

These Terms of Service (the "Terms") govern your access to and use of the website, applications, APIs, and related services operated by Invoice DIY (collectively, the "Service") at invoice-diy.com. By creating an account, accessing, or using the Service, you ("you", "your") agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity. You must be at least 18 years old and capable of forming a legally binding contract.

Definitions#

  • Service — the Invoice DIY platform, including the website, applications, APIs, and any updates or successor versions.
  • Account — your registered user account permitting access to the Service.
  • Content — any data, text, image, file, logo, signature, or other material you upload, generate, transmit, or store through the Service, including documents you create and customer records you save.
  • Subscription — a paid plan (e.g. Pro, Team) you purchase.
  • Sub-processor — a third-party service provider we engage to support the operation of the Service.

Your account#

To access most features of the Service you must create an account. By doing so you agree to:

  • provide accurate and current information about yourself;
  • keep your password and authentication credentials confidential and not share them with others;
  • promptly update your information when it changes;
  • be solely responsible for all activity that occurs under your account;
  • notify us immediately of any unauthorised access or other breach of security.

Each individual person requires a separate account, except where the Team plan expressly permits seat-based sharing under its specific terms. We may suspend or terminate accounts that we believe in good faith violate this requirement.

Plans, billing & refunds#

4.1 Free and paid plans

The Service is offered on a freemium basis. You may use the Free tier indefinitely subject to its usage limits. Paid plans ("Subscriptions") unlock additional features and higher limits and are billed in Malaysian Ringgit (MYR) or other supported currency. Applicable taxes are added at the prevailing rate.

4.2 Billing cycle

Subscriptions are billed in advance on a recurring monthly or annual basis, depending on the plan you choose. Subscriptions automatically renew at the end of each billing period unless cancelled.

4.3 Cancellation

You may cancel your Subscription at any time from within your account settings or by emailing us. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until then.

4.4 Refunds

Except where required by law, fees are non-refundable. Annual plans may be refunded on a pro-rata basis only within 14 days of initial purchase. We do not refund partial periods of monthly plans, plans cancelled after the renewal date, or fees for users who have substantially used the Service during the period.

4.5 Failed payments and grace period

If payment fails, your Subscription enters a grace period of thirty (30) days during which paid features remain available and we attempt to collect payment. If payment is still not received at the end of the grace period, your account is downgraded to the Free tier. Your data is not deleted and remains accessible subject to Free-tier limits. Re-subscribing restores full access.

4.6 Price changes

We may change Subscription pricing on at least thirty (30) days' advance notice. The new price applies on your next renewal. Continued use after the notice period constitutes acceptance.

4.7 Taxes

Fees are exclusive of applicable taxes including SST, GST, or VAT, which we collect and remit where required. You are responsible for any other taxes arising from your business activities.

License to use#

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own internal business purposes.

We retain all right, title, and interest in and to the Service, including its software, design, trademarks, logos, documentation, and underlying technology. No rights are granted to you other than those expressly set out in these Terms. You may not remove, obscure, or alter any proprietary notice on the Service.

Your content#

You retain ownership of all Content you upload to or generate through the Service. We do not claim any ownership over your Content.

You grant us a worldwide, non-exclusive, royalty-free, sub-licensable license to host, store, copy, transmit, display, adapt, and process your Content solely to provide, operate, secure, and improve the Service. This license ends when your Content is removed from the Service, except for backups and as required by law.

You represent and warrant that:

  • you own or have the necessary rights to your Content and the license you grant us;
  • your Content does not violate any law or infringe any third party's intellectual property, privacy, publicity, or other rights;
  • you are responsible for the accuracy and legality of every invoice, quotation, receipt, or other document you create — including tax calculations, currency, descriptions, and recipient information.

We do not endorse, verify, or assume responsibility for the accuracy of any document you create using the Service. The Service is a tool to help you draft and deliver documents; the legal and commercial validity of those documents is your responsibility.

Acceptable use#

You agree NOT to use the Service to:

  • issue fraudulent, misleading, or unauthorised invoices, or engage in any unlawful, fraudulent, or deceptive activity;
  • impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • introduce viruses, worms, trojans, ransomware, or any other malicious code or harmful data;
  • attempt to gain unauthorised access to the Service, other user accounts, our systems, or any related network;
  • reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, except to the limited extent expressly permitted by applicable law;
  • use the Service to transmit spam, phishing messages, chain letters, or other unsolicited communications;
  • scrape, crawl, harvest, or otherwise collect data from the Service in bulk without our express written consent;
  • rent, lease, resell, sublicense, white-label, or otherwise commercialise access to the Service without our written consent;
  • circumvent or attempt to circumvent any quota, rate limit, authentication, or access restriction;
  • interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure;
  • violate any law, regulation, or third party's rights, or facilitate others doing so.

We may investigate suspected violations and take appropriate action including warning, suspension, termination, or referral to law enforcement.

Customer data & privacy#

When you upload information about your own customers (their names, addresses, contact details, tax IDs), you act as the data controller and we act as a data processor under PDPA / GDPR. You are responsible for:

  • obtaining all necessary consents and notices from those individuals;
  • ensuring you have lawful basis to share the data with us;
  • responding to data subject requests from your own customers.

Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Third-party services#

The Service integrates with third-party services (for example Stripe for payments, Google for OAuth, Resend for email, Supabase for hosting). Your use of those services is governed by their own terms and privacy policies. We are not responsible for, and disclaim all liability arising from, the acts, omissions, availability, accuracy, or performance of any third-party service that is not under our direct control.

Suspension & termination#

10.1 By us

We may suspend or terminate your access to the Service immediately and without notice if you:

  • materially breach these Terms or our Privacy Policy;
  • engage in fraud, abuse, or any conduct that may harm us, other users, or third parties;
  • fail to pay Subscription fees after the grace period;
  • are required by law, court order, or competent authority.

Where reasonably possible we will give you advance notice and an opportunity to remedy the breach.

10.2 By you

You may delete your account at any time from within account settings or by emailing us. Upon deletion:

  • your access to the Service is revoked;
  • personal data is deleted within 30 days, except where retention is required by law (for example, invoice and tax records retained for seven years per LHDN requirements);
  • customer records you uploaded are deleted;
  • copies of invoices you previously delivered to your customers (e.g. PDFs) may continue to exist outside our control.

10.3 Survival

Sections 5 (License), 6 (Your Content), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law), 16 (Disputes), and 18 (General) survive any termination.

Disclaimers#

The Service is provided "as is" and "as available" without warranties of any kind.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, and uninterrupted operation.

We do not warrant that:

  • the Service will be uninterrupted, secure, or error-free;
  • the Service will meet your specific requirements;
  • results obtained from using the Service will be accurate or reliable;
  • defects in the Service will be corrected.

The Service is a tool for generating invoices and similar documents. It does not constitute legal, tax, accounting, or professional advice.

You are solely responsible for determining the correctness, completeness, and compliance of your documents under applicable law — including the Income Tax Act 1967, the Sales Tax Act 2018, the Service Tax Act 2018, LHDN e-Invoice requirements, and any equivalent foreign tax legislation. Where appropriate you should consult qualified professional advisors.

Limitation of liability#

To the maximum extent permitted by law:

our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the fees actually paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) MYR 200.

In no event shall we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or business opportunity, even if we have been advised of the possibility of such damages, and regardless of the legal theory (contract, tort, statute, or otherwise).

These limitations apply to the fullest extent permitted by law and survive termination of these Terms. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability; in those jurisdictions our liability is limited to the smallest extent permitted by law.

Indemnification#

You agree to defend, indemnify, and hold harmless Invoice DIY, its affiliates, and their respective officers, directors, employees, and agents from and against any claim, demand, liability, loss, damage, cost, or expense (including reasonable legal fees) arising out of or relating to:

  • your Content;
  • your breach of these Terms or the Privacy Policy;
  • your violation of any third-party right, including any intellectual property, publicity, or privacy right;
  • your invoicing, taxation, or other business activities conducted through or in connection with the Service.

Changes to the service & these terms#

We may modify, enhance, or discontinue the Service or any feature at any time. For material adverse changes affecting paying subscribers we will provide reasonable advance notice.

We may amend these Terms by posting an updated version at invoice-diy.com/terms and updating the "Last updated" date. Material changes will be notified by email and/or in-product notice at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

If you do not agree to a material change, you may terminate your account before the effective date and receive a pro-rata refund of any prepaid, unused Subscription fees.

Governing law#

These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to Section 16, the courts of Kuala Lumpur, Malaysia shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Service, except that we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property or confidential information.

If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction granting mandatory consumer protections, nothing in this section deprives you of those protections.

Dispute resolution#

Before initiating any formal legal action you agree to first notify us in writing of the dispute at hello@invoice-diy.com and engage in good-faith negotiations to resolve the matter for at least thirty (30) days. Either party may at any time seek injunctive or other equitable relief without observing this informal-resolution requirement.

Force majeure#

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including without limitation acts of God, war, terrorism, civil unrest, pandemic, fire, flood, earthquake, governmental action, internet or telecommunications outages, cyber-attacks, or denial-of-service attacks. Affected obligations are suspended for the duration of the event.

General provisions#

  • Severability — if any provision is held invalid, illegal, or unenforceable, the remaining provisions continue in full force and effect.
  • No waiver — failure or delay to exercise any right does not constitute a waiver of that right.
  • Assignment — you may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our assets.
  • Entire agreement — these Terms together with the Privacy Policy constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
  • Notices — we may give you notice by email to the address associated with your account, by in-product notification, or by posting on our website. You may give us notice by emailing hello@invoice-diy.com.
  • Headings — section headings are for convenience only and do not affect interpretation.
  • Language — these Terms are written in English. Any translation is provided for convenience only; the English version governs in case of conflict.
